These are the terms and conditions (the “Agreement”) governing your participation in any Hyundai Motor UK Limited owned and/or operated virtual event, meeting, show, seminar or conference (the “Virtual Event”). By registering for the Virtual Event you agree to these terms, which form a binding legal contract between the Virtual Event owner and host, Hyundai Motor UK Limited (“HMUK”, or “Organizer”) and the registered participant (“you” or “Participant”). If you are registering on behalf of another individual, it is your responsibility to ensure the person participating is aware of these terms and accepts them. By completing the registration on behalf of another individual you are warranting that you have made the Participant aware of these terms, that they have accepted these terms and you shall ensure that this Agreement binds that Participant. In such case, any reference to you in this Agreement shall be deemed to pertain to that Participant.
1.1. In consideration of HMUK giving you the opportunity to appear in and/or contribute to the Virtual Event, you hereby confirm your engagement in the Virtual Event on the terms and conditions set out in this Agreement.
1.2. Access. By participating you confirm that you are an existing dealer, employer, partner of HMUK or prospective individual or private customer. Your participation in the Virtual Event is voluntary and based upon your own initiative. Your participation has no associated registration fees or taxes.
2. Prohibited Conduct
2.1. Recording, Live Streaming, and Videotaping. Participants may not record or broadcast audio or video of this Virtual Event session. A complimentary recording will be distributed to all participants after the event within seven business days from the Virtual Event date.
2.2. Limitations on Use. By registering for the Virtual Event you agree not to sell, trade, transfer, or share your complimentary access link and/or code, unless such transfer is authorised by the Organizer. If the Organizer determines that you have violated this policy, it may cancel your access and ban you from future Virtual Events.
2.3. Disruptive Conduct. You acknowledge and agree that the Organizer reserves the right to remove you from the Virtual Event if it deems, in its sole discretion, that your participation or behaviour creates a disruption or hinders the Virtual Event or the enjoyment of the Virtual Event content by other attendees.
2.4. Unethical/Non-Compliant Business Practices. The Organizer reserves the right to deny participation to anyone who engages in or is reputed to engage in unethical or non-compliant business practices.
3. Liability and miscellaneous
3.1. Nothing in this Agreement limits any liability which cannot legally be limited.
3.2. No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
3.3. If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity or enforceability of the rest of this Agreement.
3.4. This Agreement and any dispute or claim arising out of or in connection with it or its subject-matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject-matter or formation (including non-contractual disputes or claims).
3.5. By registering for and participating in the Virtual Event, you expressly waive to the extent legally possible any claims or recourse against HMUK, HMUK employees, representatives, agents and servants connected with your participation in the Virtual Event.
4. Use of Likeness and Intellectual Property
4.1. Virtual Event Content. The Organizer shall be the absolute owner of any and all photographs, film, video and other materials (and all rights therein, including the copyright) produced pursuant to this Agreement.
4.2. Right to record. By participating in the Virtual Event you acknowledge and agree to grant the Organizer including any of its agents the right to record, film, live stream, photograph, or capture your likeness in any media now available or hereafter developed.
4.3. Use of image rights. You hereby irrevocably, without any further approval from you or any payment to you, and in perpetuity grant to HMUK your consent worldwide to use, distribute, broadcast and to authorise others to use, your name, voice, biography, likeness, image and recordings of interviews commissioned by HMUK in connection with (a) the exploitation, advertising and promotion of the Virtual Event, (b) products relating to the Virtual Event, including without limitation DVDs and merchandising, in any media now available or hereafter developed, (c) products manufactured, distributed and/or supplied by the Organizer or its affiliated companies throughout the world.
4.4. Assignment of Contribution. You hereby assign to HMUK absolutely all the copyright and other rights (including without limitation all performers' property rights under Part II of the Copyright, Designs and Patents Act 1988 (“CDPA”)) throughout the world in all media whether now known or hereafter developed for the full period of copyright and all renewals, revivals, reversions and extensions thereof (and thereafter, in so far as you are able, in perpetuity) including by way of present assignment of future copyright and all other rights whatsoever in all products of your services hereunder, including, without limitation, all performances and literary, dramatic, artistic and musical material contributed by you to the Programme (the “Contribution”).
4.5. Consent to use Contribution. You hereby irrevocably grant to HMUK worldwide your consent to make the fullest use of the Contribution (and any extracts from the Contribution) in any and all media worldwide, both as part of the Virtual Event and in other content owned, controlled or represented by HMUK, and to license others to do so.
4.6. Other rights. You recognise that HMUK has the unlimited right to edit, copy, alter, add to, take from, adapt, translate and dub in to one or more foreign languages the Contribution and the Virtual Event and you hereby irrevocably and unconditionally waive the benefit of your moral rights arising under Parts I and II of the CDPA and performers' non-property rights arising under Part II of the CDPA and any similar laws of any jurisdiction in favour of HMUK and its licensees, sub-licensees, assignees and successors in title to the copyright in the Contribution.
4.7. Dubbing. HMUK shall be entitled to dub the Contribution with recordings in any language with voices other than your own.
4.8. Execution of documents. You agree to do all such acts and execute such documents as HMUK may reasonably require vesting in or confirming to HMUK, its successors in title or licensees the copyright and all other rights assigned or granted or purported to be assigned or granted by you to HMUK under these Terms and Conditions.
